Humana announces new BlackRock joint venture for CenterWell clinics

Humana announced an agreement under which BlackRock-managed funds would acquire WCAS's ownership in joint ventures holding nearly 150 CenterWell Senior Primary Care clinics. CenterWell would retain a minority interest and continue managing and operating the clinics. Humana said the WCAS equity stake is valued at approximately $2.8 billion.

Why it matters: The arrangement could affect financing and future ownership of a large senior-focused primary care network. The transaction is expected to close in the fourth quarter of 2026, subject to state and federal regulatory approval. The $2.8 billion figure is not announced proceeds to Humana, a fine, a contract award or evidence of improved patient access.

Humana reports 95% of Medicare Advantage members in four-star-or-higher 2027 contracts

Humana announced that 95% of its Medicare Advantage members are enrolled in contracts rated at least four stars for 2027, including 42% in 4.5-star contracts. It lists six MA contracts at 4.5 stars and 12 at four stars, plus a 4.5-star prescription drug contract.

Why it matters: The company percentage weights membership rather than counting contracts. CMS ratings measure defined quality and experience indicators, not every denial or individual outcome. Future bonus revenue is not a paid enforcement amount or an established financial recovery. October 10 update: Humana’s October 9 Form 8-K says actual 2028 Stars revenue depends on future membership, contract mix and other inputs. Its affirmed adjusted EPS guidance remains forward-looking, not a realized result.

Humana outlines 2027 coverage footprint and specialized-plan expansion

Humana announced Medicare Advantage offerings in approximately 2,600 counties across 45 states and Washington, D.C. for 2027. It also announced expansion of chronic-condition special needs plans into Pennsylvania, Utah and Wisconsin.

Why it matters: A national footprint does not show whether a particular member keeps the same plan or clinicians. Check county-level availability and actual benefit and network changes rather than assuming continuity from a company announcement.

Analysis

What the documented record shows.

Member overcharges are documented

CMS notices identify drug cost and subsidy adjustment failures affecting enrollee payments. Those are direct member-impact findings, separate from diagnosis-code audits. Primary source

Audit estimates are not paid penalties

OIG’s recommendations for H1036 and H5216 concern estimated overpayments. Humana disputed findings or recommendations. They cannot be presented as fines already paid.

Staffing effects need more evidence

Severance costs establish restructuring activity. They do not reveal which roles were eliminated, service consequences or whether the same jobs were later advertised.

01 / Financial accountability

Fines, settlements and audit findings.

Amounts retain their original category and payment status. There is no combined “fines paid” total.

OIG estimated at least $130.9 million in 2020–2021 overpayments; 178 of 220 sampled enrollee-years had unsupported codes.

Humana disagreed with some findings and all recommendations. Rounded estimate; do not combine with fines paid.

Sources, methods and limits

A collection readers can check.

Research window: January 2020–October 6, 2026. Earlier conduct is included when an action was announced during the window. Sources prioritize regulators, state procurement notices, SEC filings and company disclosures. Company award announcements are identified as such.

Subsidiaries are grouped under their parent, with the entity and business identified. Former subsidiaries are labeled. A source link appears with each record. Reporting an allegation is not a finding of liability.

  • Initial collection, not a complete inventory of every action, subsidiary or procurement from 2020–2026.
  • Payment confirmation and appeal dispositions remain incomplete; assessed or agreed amounts are not described as paid.
  • Earlier executive compensation extraction is incomplete: 2020 all companies; 2021 CVS; 2022 UnitedHealth. Earlier non-CEO pay and benefits remain to be extracted.
  • 2026 annual executive compensation is not yet reported for a completed fiscal year. Positions in the 2025 pay table reflect that disclosure, not a current leadership directory.
  • CVS detailed benefit breakdown remains to be extracted. All other compensation is not synonymous with benefits; it can include severance and other items.
  • No matched evidence establishes elimination and later reposting of the same positions. Need job title, requisition, duties, location, employing entity and dated notices/postings.
  • Initial contract collection is selective. No Humana contract loss is documented here; that is a coverage gap, not proof that none occurred.
  • Pharmacy, PBM, employer insurance and workers compensation actions are labeled separately from Medicaid / Medicare health-plan actions.
  • Unequal search coverage and company size prevent a defensible ranking of companies by the counts or amounts in this collection.

Analysis expresses questions and inferences from the listed records. It does not establish causation between executive pay, staffing changes and member outcomes.
